By accessing or using Zyme's healthcare contract repricing platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

Description of Service

Zyme provides an AI-powered platform for healthcare contract repricing that:

  • Processes healthcare contracts in PDF format
  • Extracts and converts pricing logic into executable code
  • Automates claim repricing based on contract terms
  • Provides audit trails and reporting capabilities

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

Account Terms

Registration

  • You must provide accurate, complete, and current information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities under your account
  • You must notify us immediately of any unauthorized access
  • You must be at least 18 years old to use the Service

Account Security

You agree to:

  • Use strong, unique passwords
  • Enable two-factor authentication when available
  • Not share your account credentials
  • Log out from shared or public computers

Acceptable Use

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Upload malicious code or viruses
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Reverse engineer or attempt to extract the source code
  • Use the Service to process non-healthcare related contracts
  • Resell or redistribute the Service without authorization

Healthcare Compliance

HIPAA Requirements

When using our Service with Protected Health Information (PHI):

  • You must execute a Business Associate Agreement (BAA) with Zyme
  • You are responsible for ensuring your use complies with HIPAA
  • You must implement appropriate safeguards for PHI
  • You must report any suspected breaches immediately

Data Accuracy

While we strive for accuracy, you acknowledge that:

  • AI-generated repricing should be reviewed by qualified personnel
  • You remain responsible for final pricing decisions
  • Complex contracts may require manual review

Intellectual Property

Our Property

The Service and its original content, features, and functionality are owned by Zyme and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain ownership of contracts and data you upload. By using the Service, you grant us a limited license to process your content solely for providing the Service. We do not claim ownership of your data and will not use it for any purpose other than providing our services to you.

Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without compensation or attribution.

Payment Terms

If you subscribe to a paid plan:

  • Fees are based on your selected plan and usage
  • Payment is due according to the billing cycle
  • All fees are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days notice
  • Failure to pay may result in service suspension

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "AS IS" without warranties of any kind
  • We disclaim all warranties, express or implied
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount paid by you in the past 12 months
  • We are not responsible for third-party services or content

Indemnification

You agree to indemnify, defend, and hold harmless Zyme, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or data

Data Processing

Regarding data processing:

  • We process data solely to provide the Service
  • We do not sell or share your data with third parties for marketing
  • Data is encrypted in transit and at rest
  • You may request deletion of your data at any time
  • We maintain appropriate technical and organizational measures

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Request by law enforcement

Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time through the account settings or by contacting support.

Dispute Resolution

Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
